The Nederlandse Internationale Bosbouw Onderneming N.V. (NIBO) is an investment society which holds circa 40% of the shares PanAmerican Woods plantations (PAWp) and circa 48% of the shares PanAmerican Woods industry (PAWi) in Costa Rica.

[edit] Rescue of Bosque Puerto Carrillo

In 1996, when PanAmerican Woods (PAW) was still Bosque Puerto Carrillo (BPC), BPC was suffering financial problems, partly due to mismanagement and a conflict with the American Securities and Exchange Commission (SEC).

On initiative from Popko P. van der Molen (the then president of Sicirec S.A.) an impending liquidation was defeated and a turnaround was started. With BPC shareholders who wanted out options for sale had been settled on. In the beginning of 1998, these options were brought in NIBO, which had been specifically founded for that purpose. By issuing shares, NIBO acquired the means to exercise these options.

Although the funding took more effort and exercise than had been foreseen, in the period 1998 - 2002, NIBO acquired an interest of ca 40% in BPC. This gave NIBO practical control over BPC.

To simplify the complex structure of BPC and to close the stained history, it was decided to bring the assets into a new legal entity, PAW. Shareholders could swap their BPC shares to PAW shares.

In 2001, NIBO made a second investment. They invested in the Dutch wood enhancement company Plato, in which they acquired a 20% share. In 2005, the Plato working society went bankrupt. Although this investment only amounted to +/- 2% of NIBO's investment assets, this bad investment may have contributed to the fact that NIBO has not yet had any room for dividends.
